Master SaaS Agreement & Terms of Service

This Master SaaS Agreement ("Agreement") is between Kiyas Labs Technologies ("KiyasLabs") and the customer ("Customer", "you"). By accessing PromptRelay™: Universal Multi-Provider AI Gateway & AWS Bedrock SigV4 Bridge (BYOK) or its API endpoints, you agree to be bound by these terms.

1. Service Provision & Public Beta Cohort

PromptRelay is currently offered in Public Beta (v0.4) as a Universal Multi-Provider AI Gateway & AWS Bedrock SigV4 Bridge (BYOK). Core multi-provider routing (Google Gemini, Anthropic Claude, Meta Llama, OpenAI), AWS SigV4 translation, and Aurora pgvector semantic caching are provided free of charge for approved developer cohorts. KiyasLabs reserves the right to enforce fair-use rate limits on beta tiers.

2. Intellectual Property & Customer Ownership

Customer retains sole and exclusive ownership of all prompt inputs, parameters, and generated completions. KiyasLabs claims zero intellectual property rights over customer payloads and guarantees customer data is never used to train foundation models.

3. Service Level Agreement (SLA)

PromptRelay targets a 99.99% monthly availability SLA for production gateway tiers. In the event of upstream model provider outages (e.g. AWS Bedrock service disruptions), PromptRelay automatically engages preconfigured zero-downtime model fallback mechanisms.

4. Third-Party Model Providers & Disclaimers

PromptRelay serves as an enterprise Universal Multi-Provider AI Gateway & AWS Bedrock SigV4 Bridge (BYOK) routing requests to foundation models hosted on Amazon Bedrock, Google Vertex/AI Studio, Anthropic, and OpenAI. Accuracy and substantive correctness of LLM completions are subject to the respective model providers.

5. Governing Law & Corporate Entity

This Agreement is governed by the laws of the jurisdiction of Kiyas Labs Technologies. Contact legal inquiries at legal@kiyaslabs.tech.
